Igor Živkovski, legal advisor to multinational clients, as well as to many startups in Serbia, will talk about this topic. He has been practicing law since 2010, he is a partner at the Moravčević, Vojnović and Partners Law Office in cooperation with Schoenherr.

Shareholder agreements – establishment and functioning of a startup before investment as preparation for raising rounds:

– how it is treated by domestic legislation, and how by the investors;

– examples of good practice in drafting these agreements.

Term sheet agreements – entering funding rounds:

– what legal due diligence means;

– what aspects a good term sheet should have;

– how binding this document is;

– how a poorly defined/set up term sheet blocks subsequent rounds or creates legal problems;

– differences in key aspects from the perspective of ordinary law for a term sheet signed here (in Europe) or in the USA (if there are any provisions that are interpreted differently, pitfalls to be aware of, etc.).
